Terms of Service

The agreement between Toser and the business that uses it.

1.Who these terms apply to#

1.1Parties. These terms are an agreement between Toser ("Toser", "we", "us") and the company, team or person that creates or uses a Toser account ("you", the "Customer").

1.2Acceptance. By creating a Workspace, or by allowing anyone on your team to use Toser, you agree to these terms.

1.3Authority. If you accept these terms for a company, you confirm that you have authority to bind that company.

2.Definitions#

2.1"Workspace" means your Toser account, including its policy documents, settings, team members and question logs.

2.2"Seat" means one member of a Workspace who can use it, including owners and admins. Pending invitations count towards seats.

2.3"Your Content" means policy documents, settings, customer messages and other data that you or your team submit to Toser.

2.4"Answer" means a draft reply, with citations, that Toser generates from Your Content.

3.The service#

3.1What Toser does. Toser helps customer support agents find answers in your policy documents and draft replies with citations. It is available as a Chrome extension, and everything happens in its side panel.

3.2Changes to features. We may improve, add or change features. We won't remove a core function without giving you reasonable notice.

4.Accounts and access#

4.1Responsibility. You are responsible for activity in your Workspace, including actions taken by people you invite.

4.2Roles and access. Owners and admins decide who has access and which role each person has.

4.3Credentials. Keep your account credentials confidential. Tell us promptly if you suspect unauthorised access.

5.Trial, plans and billing#

5.1Free trial. A new Workspace includes a 14-day free trial with up to 10 seats. No payment card is needed to start the trial.

5.2Pricing. Paid plans are charged per seat: €12 per seat per month, or €10 per seat per month when billed yearly. Prices are in euro.

5.3Seat changes. Changes to your number of seats take effect from the date you make them, and are prorated.

5.4Payments and VAT. Payments are processed by Stripe. VAT is added where it applies. EU businesses can provide a VAT ID at checkout.

5.5Cancellation. You can cancel at any time from Billing in the Toser side panel, which opens the Stripe customer portal. Cancellation takes effect at [the end of the current billing period].

5.6Refunds. Refund requests are considered case by case. Contact us to discuss a refund.

5.7Price changes. We may change prices with at least [30] days' notice. A change applies from your next billing period.

6.Your content#

6.1Ownership. You keep all rights in Your Content.

6.2Licence to us. You give us the rights we need to host, process and transmit Your Content only to provide Toser to you. This includes use of the sub-processors listed in our Privacy Policy and Data Processing Addendum.

6.3Rights to your content. You are responsible for making sure you have the rights to submit Your Content, including any personal data it contains.

7.Answers and AI#

7.1AI model. Toser uses an AI model provided by Anthropic to draft Answers from Your Content.

7.2Review before sending. Answers are drafts. You and your agents are responsible for reviewing an Answer before it is sent to a customer or relied on.

7.3Not legal advice. Answers are not legal advice. Citations show where an Answer came from, but they don't guarantee that the Answer is complete or correct. Check the clause itself before you rely on it.

7.4Escalations. An escalation flag is a prompt to involve a person. It does not replace your own processes.

8.Acceptable use#

8.1Spam and illegal content. Don't use Toser to send spam or unsolicited bulk messages, or to create or distribute illegal content.

8.2Interference. Don't reverse engineer, scrape or interfere with Toser, or try to access another customer's data.

8.3No resale. Don't resell Toser or make it available to third parties without our written agreement.

8.4Fair use. Stay within the fair-use limit of 2,000 Answers per seat per month. Contact us if you expect to go beyond it.

9.Confidentiality#

9.1Confidential information. Each party will keep the other's confidential information confidential, and will use it only to perform these terms. This does not apply to information that is public, already known to the receiving party, or must be disclosed by law.

10.Data protection#

10.1Privacy Policy. Our Privacy Policy explains how we handle personal data for our own purposes, such as account and billing information.

10.2Data Processing Addendum. When Toser processes personal data contained in Your Content on your behalf, the Data Processing Addendum applies and forms part of these terms.

10.3Redaction. Our automatic redaction of personal details reduces the personal data sent to the AI model. It does not remove your responsibilities as a controller.

11.Availability and support#

11.1Availability. We work to keep Toser available and to fix problems promptly.

11.2Service levels. Unless we agree a service level in writing, for example in an Enterprise agreement, Toser is provided without a service-level commitment.

11.3Support. You can reach support through our contact page.

12.Suspension and termination#

12.1Suspension. We may suspend a Workspace that breaches these terms or puts the service or other customers at risk. Where possible, we'll tell you first and explain why.

12.2Ending your use. You may end your use of Toser at any time, as described in section 5.

12.3Effect of termination. When these terms end, your access ends. We delete Your Content as described in the Data Processing Addendum.

12.4Surviving terms. Sections 6, 9, 10, 13 and 16 continue to apply after these terms end.

13.Liability#

13.1Indirect losses. To the extent permitted by law, neither party is liable for indirect or consequential losses, or for loss of profits.

13.2Liability cap. To the extent permitted by law, Toser's total liability under these terms is limited to the fees you paid to us in the 12 months before the event that gave rise to the claim.

13.3Unreviewed answers. To the extent permitted by law, Toser is not liable for a decision or message that was sent without reviewing the relevant Answer.

13.4Non-excludable liability. Nothing in these terms limits liability that cannot be limited by law.

14.Warranties#

14.1No other warranties. Except as stated in these terms, and to the extent permitted by law, Toser is provided without warranties of any kind.

15.Changes to these terms#

15.1Notice of changes. We may update these terms. We'll notify you by email at least [30] days before a material change takes effect.

15.2Last updated date. The "Last updated" date at the top of this page shows when these terms last changed.

16.Governing law#

16.1Governing law. These terms are governed by the laws of the country where Toser's operating entity is registered. The courts of that country have jurisdiction, subject to any mandatory rules that apply to you.
